Official Rules

WHEN TO PLAY: Feeling Gerber Good (the "Sweepstakes") starts on January 4, 2016 at 12:00:01 a.m. Eastern Time ("ET") and ends on February 12, 2016 at 11:59:59 p.m. ET ("Sweepstakes Period"). The Sweepstakes Period is divided into six (6) weekly entry pools ("Weekly Entry Pool") and one (1) grand prize entry pool (the "Grand Prize Entry Pool"). For purposes of this Sweepstakes, each Weekly Entry Pool will begin on Monday and end the following Sunday, with the exception of the sixth (6^th) Weekly Entry Pool, which will end on Friday, February 12, 2016.

SPONSOR: Gerber Products Company, 200 Kimball Drive, Parsippany, New Jersey 07054 ("Sponsor").

ELIGIBILITY: Sweepstakes is open to legal residents of the fifty (50) United States, the District of Columbia and Puerto Rico, who are at least 18 years of age or the age of majority in the state of his/her residency (whichever is older), and who are MyGerber members. MyGerber membership is free. Employees of Sponsor, Brandmovers, Inc., NESTLÉ USA, Trisect, Sparks and Honey, and Ogilvy, and their subsidiaries, affiliates, Sweepstakes and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Sweepstakes is subject to all applicable federal, state and local laws. The information you provide will only be used for Sweepstakes administration, and in accordance with Sponsor's privacy policy available at http://www.gerber.com/AllStages/public/privacy.aspx.

HOW TO ENTER/PLAY: To enter, during the Sweepstakes Period, visit www.Gerber.com/FeelingGood ("Website") to find the daily video. Then, watch the daily video posted on the Website, and upon its conclusion, follow the on-screen instructions to register (only required on first visit) or log into your MyGerber account and upon registering/logging in, you will receive one (1) entry into that week's Weekly Entry Pool and one (1) entry into the Grand Prize Entry Pool, simultaneously. In case of dispute as to identity of the participant, entry will be declared made by the registered user (meeting eligibility criteria) of e-mail account, and if a prize is won, it will be awarded to that registered user. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. Limit one (1) entry per person per day. Entries received from any person, household, or email address in excess of the stated daily limitation will be void. All entries become the sole property of the Sponsor and will not be returned.

RANDOM DRAWINGS: Weekly Entry Pool Drawings: One (1) potential First Prize winner will be selected in a random drawing on or about the Monday following the end of each Weekly Entry Pool from among all eligible entries received in each Weekly Entry Pool. Odds of winning a First Prize depend on the number of eligible entries received in each Weekly Entry Pool. Grand Prize Entry Pool Drawing: One potential Grand Prize winner will be selected in a random drawing on or about February 15, 2016 from among all eligible entries received in the Grand Prize Entry Pool. Odds of winning the Grand Prize depend on the number of eligible entries received in the Grand Prize Entry Pool. Limit one (1) First Prize per person and per household.

WINNER NOTIFICATION: Sponsor's decisions are final and binding on all matters relating to this Sweepstakes. The potential winners will be notified via phone, mail, and/or email after the date of the random drawing. The potential winners will be required to sign and return a Declaration of Compliance, Liability and Publicity Release ("Declaration") which must be received by Brandmovers, Inc., on behalf of the Sponsor, within seven (7) days of the date notice or attempted notice is sent, in order to claim the prize. If a potential winner of any prize cannot be contacted, fails to sign and return the Declaration or provide any other requested information, within the required time period (if applicable), or the prize is returned as undeliverable, the potential winner may be disqualified and forfeit the prize. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Sweepstakes.

PRIZE DESCRIPTIONS: Sweepstakes: (1) GRAND PRIZE: The Grand Prize award recipient will receive a family trip for four (4) to Beaches Turks & Caicos Resort. Trip includes: round-trip airfare for four (4) people, e winner and up to three (3) guests ("Guests" or each a "Guest" and collectively with winner the "Group"),from major airport nearest winner's residence to the Turks and Caicos Islands, suite accommodations (one room, quad occupancy) for 8 days/7 nights at the Beaches Turks & Caicos Resort, ground transportation to/from the hotel/resort, one (1) character breakfast (if available during travel dates selected), up to two (2) resort excursions. Approximate Retail Value ("ARV") of Grand Prize at maturity is: up to $35,000. Total ARV of all prizes: up to $60,847.82.

ALL PRIZE CONDITIONS: Prizes cannot be used in conjunction with any other Sweepstakes or offer. Prize elements may not be separated. In the event any portion of a Prize cannot be awarded as stated, that portion of the Prize will go unawarded. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. All gift cards are subject to other terms, conditions and restrictions. Sponsor is not responsible for any additional charges applied during gift card usage. All products are subject to warranties. Sponsor reserves the right to substitute one (1) or more of the Prizes for prize(s) of equal or greater value for any reason. Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor's sole discretion.

GRAND PRIZE CONDITIONS: Guest(s) must be the age of majority in his/her jurisdiction of residence, unless such minor travel companion is the child or legal ward of the winner. All Grand Prize-related travel arrangements will be administered by Sponsor's authorized designee. Grand Prize travel and all elements of Grand Prize package are subject to capacity controls, availability, weather, seasonal influences, and certain other restrictions, all of which are subject to change. No changes will be made to travel details once any element(s) of the travel arrangements have been booked, except at Sponsor's sole discretion. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates or similar items once they are in the Group's possession. In the event that changes are allowed by Sponsor, any and all airline/hotel change fees must be paid by Group. No refund or compensation will be made in the event the winner elects to partake in the Grand Prize with fewer than three (3) travel companions and the Grand Prize will be awarded in increments suitable for the actual number of travelers with no substitute prize being awarded to the winner.

The Grand Prize is non-refundable and non-transferable. The Grand Prize trip must take place by December 31, 2016. Grand Prize may not be combined with any other coupon, certificates, discount, bonus, infant fare, upgrade, frequent flyer miles or promotional offers/tickets. Void if altered. Booking and travel dates must fall into the range as specified.

Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for any part of the Grand Prize. It is the responsibility of the Group to arrive at the designated gateway airport in time for each flight that is part of the Grand Prize.

The Group is responsible for all in-room charges (e.g., mini-bar, movies), transportation not specified herein, telephone calls, meals, beverages/drinks, gratuities, upgrades, seat assignments, baggage fees, airport departure fees and taxes, laundry service, insurance, merchandise, parking fees, service charges, souvenirs, spa services, telephone calls, hotel fees or taxes, personal incidentals, amenities, and any other fees and expenses not specifically mentioned in these Official Rules. Group will be required to provide a valid government issued passport at time of travel, and passport must have been valid for a minimum of 6 months prior to starting date of travel. Passport, photo identification and credit card or cash deposit may be required at check-in for incidental charges (e.g., room service, use of telephone/IT services, laundry and all other optional extra services not provided in the Grand Prize). Any damage to the room attributed to the Group will be the responsibility of the Group.

Sponsor bears no responsibility if any event, element or detail of the Grand Prize is canceled, postponed or becomes unavailable for any reason. Should any event, element or detail of the Grand Prize become unavailable, Sponsor shall have no obligation to the winner aside from providing the travel portion of the Grand Prize, minus any unavailable element or detail. The Group shall be subject to all terms and conditions printed on any ticket issued in conjunction with the Grand Prize. In the event the Group engages in behavior that (as determined by Sponsor in its sole discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the Trip or other applicable experience early. In the event the Group is denied entry into any ticketed location or is removed or barred from any ticketed location for any other reason, Sponsor is not responsible and no further compensation or award will be provided.

The Group must travel on the same itinerary. Winner may not charge Guest(s) for participating in the Trip. Unless otherwise necessitated by Sponsor, no stopovers are permitted on tickets issued as the Grand Prize; if a stopover otherwise occurs, the Grand Prize will terminate and full fare will be charged from the stopover point for the remaining Trip segment(s), including the return. Winner is solely responsible for any and all excess baggage charges, taxes and any other charges incurred after or in connection with the issuance of airline tickets.

GENERAL CONDITIONS: By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Sweepstakes; (b) to release, discharge and hold harmless Sponsor, Brandmovers, Inc., NESTLÉ USA, Trisect, Sparks and Honey, Ogilvy, their affiliates, subsidiaries, and advertising and Sweepstakes agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, "Released Parties") from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant's participation in the Sweepstakes or any Sweepstakes-related activity or the acceptance, possession, use or misuse of any awarded prize; and (c) to the use of his/her name, voice, performance, entry, and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use. By participating, entrant also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Sweepstakes without the prior consent of the Sponsor, which it may withhold in its sole discretion.

MISCELLANEOUS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled entries/plays, or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries or the announcement of the prizes, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Sweepstakes or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Sweepstakes be, in Sponsor's sole opinion, compromised for any reason, including virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes (or portion thereof) and, if terminated, at its discretion, select the potential winner(s) for the drawing(s) at issue from all eligible, non-suspect entries received for the applicable drawing(s) prior to action taken through a random drawing. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Sweepstakes, if possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
